The free validator remains local and does not transmit the selected file or result. A paid subscription creates a separate private workspace. Files are transferred to that workspace only when the customer intentionally starts a monthly production run.

1 Scope and business customers

These terms apply only to organisations and people acting for business purposes. UK Filing is not offered to consumers. An individual agreement, order confirmation or data processing agreement takes precedence over these terms where it says something different.

2 Provider and contract formation

The provider is Dali AI GmbH, Wassergrabe 4, 6210 Sursee, Switzerland, UID/VAT number CHE-410.112.306. Contact: [email protected]. The customer selects a reporting route and quantity, actively accepts these versioned terms and the incorporated Data Processing Addendum, reviews the monthly price and renewal interval in Stripe Checkout and submits payment. The contract is formed when Stripe confirms the successful subscription on Dali AI's behalf. The return page then verifies that UK Filing purchase and creates the private workspace. If Dali AI cannot support a purchased template, it will agree an adjustment or cancel and refund the unsupported part promptly.

3 The service

The customer workspace stores one mapping and template version per subscribed agreement or framework, organises monthly production runs, maps customer-provided source rows into the supported output, applies the published structural pre-check and stores source and output files for review and download. The quantity purchased in Stripe Checkout is the maximum number of agreement workspaces included. Supported formats and verification dates are listed on the relevant reporting page.

A pre-check with no structural error means only that the implemented rules found no issue. It is not a professional, accounting or legal review and does not verify the truth, completeness or framework eligibility of the source data. The customer reviews the output and submits it to the framework operator. GCA nil months are declared by the customer through “Report no business” in the operator portal; UK Filing provides tracking, not portal submission.

UK Filing is independent of the Government Commercial Agency, Crown Commercial Service and HealthTrust Europe LLP. It cannot guarantee that a framework operator will accept a return or that the customer's underlying figures are complete or correct.

4 Customer responsibilities

The customer must provide lawful, accurate and complete source data, select the correct framework and displayed template version, review the output and submit it on time. It must have all rights and permissions needed for the data and must not upload special-category, criminal-offence or unrelated personal data. The private workspace link is an access credential; the customer must store it securely, limit it to authorised staff and promptly report loss or suspected disclosure.

A validation report or recorded submission reference documents the checks and customer actions shown in the workspace. It does not prove operator receipt or acceptance, and it does not transfer responsibility for source completeness, final review, deadline compliance or submission to Dali AI.

5 Prices, payment and taxes

Prices are £39 per month for the first supported GCA agreement and £59 per month for the first supported HealthTrust Europe framework. Each additional supported agreement or framework on the same reporting route is £19 per month. The customer selects the quantity before checkout; Stripe displays the base subscription and, where applicable, the quantity of additional agreements or frameworks before payment. Prices exclude VAT and are billed monthly in advance. The binding price and billing interval appear in Stripe Checkout before payment. UK business customers are responsible for any reverse-charge accounting that applies to them.

A single return is a one-off purchase at £15 for one supported agreement and one reporting month. It is not a subscription, is not renewed, and is not a discounted month of a subscription. The price excludes VAT and is shown in Stripe Checkout before payment.

6 Term and cancellation

Unless an order says otherwise, subscriptions run month to month with no minimum term. A customer may schedule cancellation through the authenticated Stripe customer portal or write to [email protected] before the next renewal. Cancellation takes effect at the end of the paid period. Amounts already paid for a current period are not refunded, unless mandatory law or an individual agreement requires it.

A single return covers one supported agreement, one reporting month and one prepared output. Workspace access ends 30 days after payment, and the stored source and output files expire with it, so the customer should download the output before then. The mapping is not kept for a later month, and the purchase includes no support, review, submission or acceptance. At any time before the output has been generated the customer is entitled to cancel and to a full refund, by writing to [email protected]. Once the output has been generated the price is not refunded, unless mandatory law or an individual agreement requires it. The customer's own duties to review the output and to submit it remain unchanged.

7 Availability, maintenance and changes

No service-level percentage is promised unless an individual agreement states one. Planned maintenance, security work and events outside reasonable control may interrupt the service. Framework operators can change their templates and rules; Dali AI will use reasonable care to update supported formats, but the customer must check the coverage page before each filing.

8 Customer data and confidentiality

Customer data remains the customer's data. Dali AI processes it only to provide, secure and support the service and does not use it to train AI models. The Data Processing Addendum is incorporated where Dali AI acts as processor. Cloudflare provides the workspace database, encrypted file storage and network delivery. Stored files expire automatically after 90 days, or with the shorter workspace access period stated in clause 6 for a single return, whichever ends first, and can be deleted sooner in the workspace. Workspace mappings and workflow records remain for the subscription and until deletion is requested or performed, subject to legal retention duties. Stripe separately processes checkout and billing data as described in the Privacy notice.

9 Intellectual property

Dali AI retains all rights in the software, validation rules and mappings that are not customer data or official framework materials. The customer receives a non-exclusive, non-transferable right to use the service during the subscription for its own framework reporting. Official templates and guidance remain subject to their respective owners' rights.

10 Suspension and termination

Dali AI may suspend access where reasonably necessary for security, unlawful use, non-payment or a material breach. Where practical, the customer receives notice and an opportunity to remedy the issue. Either party may terminate immediately for an unremedied material breach. Before cancellation takes effect, the customer should download required outputs. Afterwards, Dali AI will return or delete customer personal data as instructed and described in the Data Processing Addendum; automatically expiring file copies are removed no later than their stated retention date.

11 Liability

Dali AI does not exclude or limit liability for intent, gross negligence, death or personal injury, or any other liability that cannot lawfully be limited. For ordinary negligence, aggregate liability arising from the service is limited to the fees paid for the affected service during the twelve months before the event giving rise to the claim. To the extent permitted for a B2B contract, Dali AI is not liable for indirect loss, loss of profit or loss caused by inaccurate source data, a missed customer review or a framework operator's independent decision.

12 Changes to these terms

Material changes are announced in text form before they take effect. If a change materially disadvantages an existing customer, that customer may cancel before the effective date. A new version does not silently replace an individually agreed term.

Dali AI may change the name under which this service is offered. A change of name on its own does not change the service, the price or these terms, and is not a material change within the meaning of this clause. Customers are told before it takes effect.

13 Governing law and courts

Swiss substantive law applies, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts at Sursee, Canton of Lucerne, have exclusive jurisdiction, unless mandatory law requires another court.

Do not send invoice files by ordinary email. Upload them only through the private paid workspace. Submission to GCA or HTE remains the customer's action.
